HAUS MARKETING & DISTRIBUTION LTD
Last updated: 19th October 2026
1 Contract
The contract to supply and purchase goods is between HAUS Marketing & Distribution Ltd (“HAUS”, “we”, “us”) and the trade customer (“you”), whether acting through an authorised representative or otherwise. Applying for a trade account or placing an order means you have read, understood and agreed to these terms.
These terms take precedence over any contradictory terms printed or referred to by you, and apply to all of our sales unless a director of HAUS specifically agrees otherwise in writing.
2 Terms of sale and resale restrictions
You sell and deliver our goods only to end consumers, through your physical shop and your own online channels. The following are excluded unless we agree otherwise in writing:
- Selling or delivering our goods to other resellers.
- Selling or delivering our goods to wholesalers.
- Listing or selling our goods on third-party platforms, commonly known as marketplaces.
3 Orders
All goods are subject to availability. Placing an order does not put us under any legal obligation to supply. Telephone orders are taken at your own risk of error unless you receive written confirmation before despatch. Any representations or warranties we give, orally or in writing, before the contract is made have no effect.
4 New accounts
A trade account application form must be completed and signed. Pro forma payment is required for your first three orders, to establish trading relations. After that, we carry out a credit check using Experian and, subject to availability, award a credit limit.
If Experian cannot provide a credit rating, pro forma payment continues until circumstances change. If the business is a new venture with no trading history, the account stays on pro forma until a credit rating can be achieved. We review credit when Experian updates its data or when a late payment occurs.
5 Brand
All brand names, titles, logos, images and trademarks are the intellectual property of the brand or supplier and must not be used without our written consent. We have sole discretion in deciding whether to give consent. Devaluing a brand or representing it poorly will result in the account being closed and consent to use the brands being withdrawn, at our sole discretion and at any time.
6 Prices
All prices quoted are EXW (Incoterms 2010) and exclude VAT. Goods are invoiced at the current ruling price at the time of order, which normally matches the current price list, plus VAT. We reserve the right to change prices in view of prevailing circumstances.
7 Payment
The total invoice value plus VAT is due within 30 days of the invoice date. Time for payment is of the essence, and no payment is treated as received until we have received cleared funds. We may require payment for the goods, and any interest that applies, even where ownership of the goods has not passed to you.
8 Overdue accounts
After due notice, we may charge interest at an annual rate of 2.5% above the base rate of National Westminster Bank plc from time to time, accruing daily from the due date until payment is made. Bad debts that go beyond terms will be passed to our credit insurer for collection, and the charges for this, in addition to interest, will be passed to you.
Continued late payment will result in your account being placed on pro forma payment and any promotional offers being withdrawn for as long as we decide in our sole discretion.
We may take back our goods where payment is not forthcoming or possible. For this purpose, you grant us, our agents and our employees an irrevocable licence at any time to enter any premises where the goods are or may be stored, in order to inspect or recover them.
9 Risk and title
Ownership of goods we supply does not pass to you until we have received in full, in cash or cleared funds, all sums due to us for the goods and all other sums that are or become due to us from you on any account.
Until ownership passes, you will hold the goods on a fiduciary basis on our behalf and store them properly, separately from all other goods of yours or any third party, so that they remain readily identifiable as our property. Where we cannot determine whether any goods are those for which your right to possession has ended, you are treated as having sold all goods of the kind we sold to you, in the order in which they were invoiced to you.
Your right to possession of the goods ends immediately if you become insolvent or unable to pay your debts within the meaning of the Insolvency Act 1986, including if:
- You are a partnership or sole trader and a bankruptcy order is made against you, or you make an arrangement or composition with your creditors.
- You are a company and you convene a meeting of creditors, enter liquidation (other than a solvent voluntary liquidation for reconstruction or amalgamation), or a receiver, manager, administrator or administrative receiver is appointed, or notice of intention to appoint an administrator is given.
- A petition is presented for your winding up or for an administration order, or a resolution for winding up is passed.
- You suffer or allow any execution to be levied on your property, fail to perform any obligation under any contract with us, or cease or threaten to cease to trade.
Once your right to possession has ended, you grant us, our agents and our employees an irrevocable licence at any time to enter any premises where the goods may be stored in order to recover them.
All risk remains with you from the time of delivery. You are responsible for insuring the goods for their full price against all risks, to our reasonable satisfaction, from delivery until title passes to you. On request you must produce the insurance policy to us.
10 Sale or return
Supply on a sale or return basis is not operated by us and does not form part of any transaction with us, unless we agree otherwise in writing.
11 Limitation of liability
Except as provided in these terms and the order details we receive, all terms implied by statute or common law (apart from the conditions implied by section 12 of the Sale of Goods Act 1979) are excluded from the contract to the fullest extent the law permits.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, under section 2(3) of the Consumer Protection Act 1987, for any matter where it would be illegal for us to exclude liability, or for fraud or fraudulent misrepresentation.
Our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the contract is limited to the contract price. We are not liable to you for any loss of profit, loss of business or depletion of goodwill, whether direct or indirect, or for any consequential loss or claims for consequential compensation arising out of or in connection with the contract.
12 Display equipment and stands
We may, at our sole discretion, provide display and presentation equipment that we consider beneficial for the resale of the goods. Branded display and presentation equipment remains our property at all times and we may recover it if our relationship with you ends for any reason.
You must take reasonable care of the equipment and are responsible for insuring it to its full replacement value against all risks, to our reasonable satisfaction. On request you must produce the insurance policy to us. On return of the equipment, we may recover from you the cost of repairing or replacing it for any damage caused while it was with you, fair wear and tear excluded.
13 Claims
For non delivery, you must notify us in writing within 5 days of the invoice date. For damage, shortage or any other error, you must notify us in writing on receipt of the invoice or within 4 days of receiving the goods.
You must not make any deduction from any payment due to us, whether by set off, counterclaim, discount, abatement or otherwise, arising out of any claim.
Where a claim is notified outside these times, we will make every effort to resolve matters for you, but without liability or obligation on our part. Goods sold under warranty that become defective within the warranty period solely from faulty design, materials or workmanship will, where possible, be replaced by the manufacturer in line with the terms of that warranty, provided the goods are returned to us promptly and proof of purchase is supplied.
14 Carriage
UK mainland: admin and carriage costs, as we specify from time to time, must be paid by you on all orders under £150.00 (ex VAT) goods value.
Offshore (Northern Ireland and Eire, Channel Islands, Isle of Man and Scottish Isles): admin and carriage costs, as we specify from time to time, must be paid by you on all orders under £300.00 (ex VAT).
Drop shipping can be arranged as a special request and will be charged as an additional handling charge (price on request) in addition to the above, whether mainland or offshore.
15 Governing law and contact
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
